Confidentiality Agreement
RECOGNITION OF AGENCY’S RIGHTS; NONDISCLOSURE
At all times during the term of my affiliation with The Blood Cancer Foundation of Michigan (BCFM), formerly known as Children's Leukemia Foundation of Michigan (CLF), I will hold in strictest confidence and will not disclose, use, lecture upon or publish any of BCFM's Proprietary Information (defined below), except as such disclosure, use or publication may be required in connection with my work for BCFM, or unless an executive officer of the Agency expressly authorizes, in writing, such disclosure, use or publication. The term "Proprietary Information" shall mean trade secrets, confidential knowledge, data or any other information of BCFM, its patients, vendors, donors, partners, board members and volunteers. By way of illustration but not limitation, "Proprietary Information" includes (a) mailing lists, email lists, trade secrets, ideas, processes, reports, data, programs, works of authorship, creative, designs and techniques (hereinafter collectively referred to as "Inventions"); and (b) information regarding plans for fundraising, development, programs, marketing and promotion, business plans, budgets and financial statements, fees, licenses, prices and costs, suppliers, customers, donors and corporate sponsors; and BCFM Human Resource information including information regarding the status, skills, performance and compensation of other employees or contractors of the BCFM.
CONFIDENTIALITY OF BCFM INFORMATION
I understand that data is generated from time to time for and on behalf of BCFM, including patient lists, mailing lists, donor information, marketing reports, financial reports and other data. I acknowledge that this information is to be considered CONFIDENTIAL AND PROPRIETARY to BCFM. No one is to provide this information to anyone outside the BCFM, either during or after termination of employment, contract work or volunteer work except with the express written consent of the President of BCFM.
CREDIT CARD NUMBER CONFIDENTIALITY
I understand that BCFM collects and maintains credit card numbers, statements and receipts of employees, donors, and others in the ordinary course of business. BCFM will handle credit card numbers with a high degree of security and confidentiality as follows: 1. Access to information or documents containing credit card numbers is limited to those who have a business related reason to know this information; 2. Documents containing credit card numbers are stored and disposed of properly and are not transmitted, or stored on records or record systems that are not encrypted or secure.
JURISDICTION AND VENUE
In case of any dispute hereunder, the parties will submit to the exclusive jurisdiction and venue of any court of competent jurisdiction in Oakland County, Michigan, and will comply with all requirements necessary to give such court jurisdiction over the parties and the controversy.
